Official Rules

A VENMO ACCOUNT IN GOOD STANDING WHERE USER HAS COMPLETED IDENTITY VERIFICATION WITHIN THE VENMO APP (SEE SETTINGS FOR DETAILS) IS REQUIRED TO ENTER THE CONTEST AND RECEIVE A PRIZE. BY PARTICIPATING IN THE CONTEST, YOU AGREE TO THESE RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE PARTICIPATING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR FROM YOU.

1. Eligibility:
The Venmo College Challenge (the “Contest”) is open only to individuals who meet all of the following requirements:

(a) must be a legal resident of the fifty (50) United States and the District of Columbia, excluding Maryland, Louisianna, Tennessee and Iowa;

(b) must be legally able to agree to work in the United States;

(c) must be at least eighteen (18) years old; and

(d) must be enrolled at any four-year college or university located in the United States for the fall 2024 term at the time of entry.

Employees of PayPal, Inc., Merkle Inc., and any of their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Contest is subject to all applicable federal, state, and local laws and regulations and is void where prohibited.

2. Sponsor: PayPal, Inc., 2211 N. First Street, San Jose, CA 95131.

3. Agreement to Official Rules: Participation in this Contest constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to this Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.

4. Timing: The Contest begins on August 29, 2024 at 12:00 p.m. Eastern Time ("ET") and ends on September 5, 2024 at 11:59 p.m. ET (the "Contest Period"). Sponsor’s servers and TikTok’s servers are the official time-keeping devices for the Contest.

5. How to Enter:

Participation Requirements: To participate, you will need to have a personal and public TikTok account. Creating a TikTok account is free but subject to its terms and conditions (https://www.tiktok.com/legal/page/us/terms-of-service/en#terms-us). If entering via a mobile device and using your wireless carrier’s network, standard data charges from your wireless carrier may apply.

Entry Requirements: During the Contest Period, complete the following actions to receive an entry. You make take these actions in any order:

(a) Complete Registration Form: Visit www.venmo.me/collegecreator and follow the instructions to accurately complete and submit the registration form by providing your first and last name, the email address to which Contest notifications should be sent, your school email address (if different from preferred email address), your TikTok handle, your Venmo handle and confirm agreement to these Official Rules.

(b) Create video Submission and post on TikTok:

(i) Create a video that is no longer than one (1) minute in length that describes how you use Venmo. NOTE Your video must be based on your honest opinion and personal experience. There is no need to express praise or offer favorable comments about Venmo or Venmo’s features in your video. Including such positive endorsements will not be considered by Sponsor and therefor will not increase you chances of being selected as a winner.

(ii) Post the video on TikTok and include #VenmoCollegeChallenge in the caption and include #Contest as a text overlay to your video that is present for the entire length of the video. “#Contest” must be prominent, in font that is large enough to be easily readable, and in a color that contrasts from the background; and

(iii) You must not change your TikTok handle and your account settings must remain public once you have posted your video (herein your “Submission”) and until the prizes are awarded (as described in Section 8).

By posting your Submission, you agree that it conforms to the guidelines, permissions, and content restrictions below and that Sponsor, in its sole discretion may disqualify you if it believes that it fails to conform. Where your Submission meets all requirements, your Submission will be deemed one (1) Contest entry.

Guidelines:

  • The Submission must meet the format and size requirements of TikTok as well as those of the Entry Requirements above (no more than 1 minute); and

  • The Submission must be in English.

Permissions: Entrant must have permission from any recognizable individuals who appear in the Submission to use their names and likenesses in the Submission and to grant the rights set forth herein. Minors may only be included in the Submission if entrant is their parent or legal guardian. If requested, entrant must be able to provide such permissions or proof in a form acceptable to Sponsor.

Content Restrictions:

  • The Submission must be your original work;

  • The Submission must be based on your honest opinion and personal experience.

  • The Submission must not convey any claims of Sponsor’s products or services that would be deemed unsubstantiated or deceptive if made by Sponsor;

  • The Submission must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement.

    • Accordingly, the Submission must not contain brand names or trademarks other than those owned by Sponsor;and

    • The Submission must not contain content created by a third party, such as music, images or artwork.

  • The Submission must not disparage Sponsor, or any other person or party;

  • The Submission must not promote or reference alcohol, illegal drugs, tobacco, or firearms/weapons, any activities that are or appear to be dangerous, or any political agenda;

  • The Submission must not contain material that is inappropriate, offensive, indecent, obscene, sexually explicit, tortious, defamatory, slanderous or libelous;

  • The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age; and

  • The Submission must not contain material that is unlawful, in violation of, or contrary to the laws or regulations in any state where Submission is created.


Limit
: Each entrant may post one (1) Submission during the Contest Period. Submissions received from any person in excess of the stated limit will be void. Submissions generated by script, macro or other automated means are void. Multiple entrants are not permitted to share the same TikTok account. Any attempt by any entrant to obtain more than one (1) entry by using multiple/different TikTok accounts, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. In the event of a dispute as to the identity of an entrant, Sponsor will rely on information entrant provided in the registration form. If additional information provided by entrant to claim the prize is inconsistent with the information provided in the registration form or their TikTok handle used to enter, Sponsor may disqualify such entrant and such disqualification may result in the forfeiture of any prizes won. Sponsor, in its discretion, may request additional documentation from entrant to confirm entrant’s identity.

6. Sponsor's Use of Submissions: Posting a Submission constitutes entrant’s consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If requested, entrant will sign any documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights entrant is granting to use the Submission.

7. Winner Determination: After the Contest Period, a panel of qualified judges determined by Sponsor in its sole discretion will select the four (4) entrants (herein “Potential Winners”) with the highest-scoring Submissions from among all eligible Submissions based on the following criteria (“Judging Criteria”):

  • Entrant has an engaging on-camera presence (40%);

  • Creativity of the Submission (30%); and

  • Production quality of the Submission (30%)


In the event of a tie, the entrant whose Submission received the highest score for “Entrant demonstrates an engaging on-camera presence,” as determined by the qualified judges in their sole discretion, will be deemed the potential winner from among the tied entrants. In addition, if there are more than one (1) Potential Winner who is attending the same College/University, Sponsor will replace the Potential Winner who had received the lower score by the entrant who has the next highest scoring Submission who is attending a College/University that is not yet represented by any of the other Potential Winners.

Sponsor will next review the social presence of each of the Potential Winners. Due to the nature of the prizes offered, if a review of their social presence reveals that any Potential Winner has engaged in conduct that could damage the reputation of or reflect unfavorably on the Sponsor, as determined by Sponsor in its sole and absolute discretion, the potential winner may be disqualified, and an alternate Potential winner will be selected using the above-described process.

Sponsor reserves the right to select fewer than four (4) Potential Winners, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions. Sponsor will not disclose judging scores.

8. Winner Requirements: Starting on or around September 10, 2024, Sponsor will notify Potential Winners by email. Each potential winner will be required to sign and return the Content Creator Consulting Agreement (herein the “Contract”) and an IRS Form W-9 form within five (5) days of the date notice or attempted notice is sent to claim the prize. In addition, each potential winner will be required to provide banking details so that Sponsor may fulfill the prize through as a direct deposit to their applicable bank. If a potential winner cannot be contacted, fails to sign and return the requested documents and information within the required time period, or the prize is returned as undeliverable, the potential winner forfeits the prize. If a potential winner is disqualified for any reason, the prize may be awarded to a runner-up, if any, in Sponsor’s sole discretion. Up to three (3) alternate winners may be determined, after which the prize will remain un-awarded.

9. Prizes: FOUR (4) GRAND PRIZES: Each winner will be offered the opportunity to participate in Venmo’s Content Creator Program from September 2024 – December 31, 2024 as set forth in the Contract. Approximate Retail Value (“ARV”): $4,000.00.

Prizes are non-transferable, and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Winner will receive an IRS form 1099 reflecting payments received. Limit: One (1) prize per person. ARV of all prizes: $16,000.00. Prizes will be fulfilled shortly following winner confirmation.

10. Release: By receipt of any prize, each winner agrees to release and hold harmless the Sponsor, Merkle Inc., TikTok Inc., and their respective parent companies, subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, third party claims involving the right to privacy, right of publicity, or intellectual property infringement arising out of participation in the Contest or receipt or useor misuse of any prize, including any related travel.

11. Publicity: Acceptance of any prize shall constitute and signify each winner’s agreement and consent that Sponsor and its designees may use the winner’s name, city, state, likeness, photo, including winner’s TikTok profile photo, Submission, and/or prize information in connection with the Contest for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law.

12. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Contest if any fraud, technical failures, human error, any other factor impairs the integrity or proper functioning of the Contest, or any event or cause beyond Sponsor’s control (e.g. events such as natural calamities, national emergencies, wide spread illnesses, declarations of war, acts of God, acts of terrorism) interferes with any aspect of the Contest, including but not limited to fulfillment of the prize(s), as determined by Sponsor in its sole discretion. If terminated, Sponsor may, in its sole discretion, determine the winner(s) from among all non-suspect, eligible entries received up to time of such action using the judging procedure outlined above. Sponsor may also modify the prizes offered. In addition, Sponsor reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated entries. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

13. Limitations of Liability: Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrant, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Contest; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the entry process or the Contest; (d) printing, typographical, technical, computer, network or human error which may occur in the administration of the Contest, the uploading, the processing or judging of Submissions, the announcement of the prizes or in any Contest-related materials; (e) late, lost, undeliverable, damaged or stolen mail; (f) lost, late, unreceived, damaged, incomplete, invalid, un-intelligible, garbled, delayed or misdirected Submissions or failure to receive Submissions due to limitation of third-party social network platforms or (g) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize. Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third-party use of any Submission.

14. Agreement to Arbitrate: Entrant agrees that any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded, including without limitation federal and state statutory claims, common law claims, and those based in contract, tort, fraud, misrepresentation or any other legal theory, shall be resolved exclusively through final and binding arbitration, rather than in court, except that the claimant may assert claims in small claims court, if the claims qualify and so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis. This Agreement to Arbitrate is intended to be broadly interpreted. The Federal Arbitration Act governs the interpretation and enforcement of this Agreement to Arbitrate.

Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator or arbitrators instead of a judge or jury, and court review of an arbitration award is very limited. However, the arbitrator can award the same damages and relief on an individual basis that a court can award to an individual. The arbitrator also must follow the terms of this agreement as a court would. All issues are for the arbitrator to decide, except that issues relating to arbitrability, the scope or enforceability of this Agreement to Arbitrate, or the interpretation of the Prohibition of Class and Representative Actions and Non-Individualized Relief section below, shall be for a court of competent jurisdiction to decide.

The arbitration will be conducted by the American Arbitration Association (referred to as the "AAA") under its rules and procedures, as modified by this Agreement to Arbitrate. The AAA’s rules are available at www.adr.org. In the event that the AAA is unavailable to administer the arbitration, another administrator will be selected by the parties or by the court.

The arbitration shall be held in the county in which you reside or at another mutually agreed location. If the value of the relief sought is $10,000 or less, either party may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on the parties subject to the discretion of the arbitrator to require an in-person hearing, if the circumstances warrant. In cases where an in-person hearing is held, either party may attend by telephone, unless the arbitrator require otherwise.

The arbitrator will decide the substance of all claims in accordance with applicable law, including recognized principles of equity, and will honor all claims of privilege recognized by law. The award of the arbitrator shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Payment of all filing, administration, and arbitrator fees will be governed by the AAA’s rules, unless otherwise stated in this Agreement to Arbitrate. If you are able to demonstrate that the costs of accessing arbitration will be prohibitive as compared to the costs of accessing a court for purposes of pursuing litigation on an individual basis, Sponsor will pay as much of the filing, administration, and arbitrator fees as the arbitrator deems necessary to prevent the cost of accessing the arbitration from being prohibitive. In the event the arbitrator determine the claim(s) you assert in the arbitration to be frivolous, you agree to reimburse Sponsor for all fees associated with the arbitration paid by Sponsor on your behalf that you otherwise would be obligated to pay under the AAA’s rules.

With the exception of any of the provisions in the Prohibition of Class and Representative Actions and Non-Individualized Relief section below, if a court decides that any part of this Agreement to Arbitrate is invalid or unenforceable, the other parts of this Agreement to Arbitrate shall still apply. If a court decides that any of the provisions in the Prohibition of Class and Representative Actions and Non-Individualized Relief section above is invalid or unenforceable because it would prevent the exercise of a non-waivable right to pursue public injunctive relief, then any dispute regarding the entitlement to such relief (and only that relief) must be severed from arbitration and may be litigated in court. All other disputes subject to arbitration under the terms of the Agreement to Arbitrate shall be arbitrated under its terms.

16. Prohibition of Class and Representative Actions, Non-Individualized Relief and Limitation of Liability: Entrant and Sponsor agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. Unless both Entrant and Sponsor agree otherwise, the arbitrator may not consolidate or join more than one person’s or party’s claims and may not otherwise preside over any form of a consolidated, representative or class proceeding. Also, the arbitrator may award relief (including monetary, injunctive and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party’s individual claim(s). Entrant agrees that any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees. Under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

17. Choice of Law and Venue: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Delaware without giving effect to any choice of law or conflict of law rules (whether of the State of Delaware or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Delaware.

18. Entrant's Personal Information: Information collected from entrant is subject to Sponsor’s Privacy Policy https://www.paypal.com/us/webapps/mpp/ua/privacy-full.

19. Winner List: The names of the winners can be obtained by visiting

www.Venmo.me/collegecreatorselection. The winner list will be posted after winner confirmation is complete. Requests for winner lists must be received by November 30, 2024.
